Acceptance and Terms of Service (TOS)

In order to access information contained on the Moovsoon LLC (“Moovsoon,” “Company,” “we,” “us,” and “our”) Web Application (the “Moovsoon App”) or make use of the services provided by Moovsoon LLC (the “Service” or “Services”), you (hereinafter referred to as “User”, “Customer”, “you,” “your,” and ‘yours”) must first read this agreement (the “Agreement”) and accept it.

BY USING THE SERVICES OR THE MOOVSOON APP, YOU CONSENT TO THE TERMS AND CONDITIONS OF THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE PLEASE DO NOT USE THE MOOVSOON APP AND/OR SERVICES.

By clicking “Yes” to I AGREE and clicking on SUBMIT on the payment page or using the Services, you represent that you have read and agree to the terms and conditions of this Agreement, which also include and incorporate Moovsoon’s Acceptable Use Policy, General Terms and Conditions, Subscription Term, Renewal and Fees Payment, Refund; Chargeback, and Privacy Policy.

1. Grant of Rights to Use Services

Subject to your acceptance of and compliance with this Agreement and with the payment requirements for the Services, Moovsoon hereby grants you a limited, non-exclusive, non-transferable, non-sublicenseable, revocable right and license during the Term of this Agreement under our intellectual property rights, to access and use the Services, solely in accordance with the terms and conditions of this Agreement.

You may not, nor allow any third party to, copy, distribute, sell, disclose, lend, transfer, convey, modify, decompile, disassemble or reverse engineer the Services for any purpose whatsoever. You may not allow any unauthorized third party to access the Services for any purpose whatsoever.

Prohibited Activities

Certain activities, whether legal or illegal, may be harmful to other users and violate our rules. You may not engage in such activities including:

• Engaging in harassment, threats, stalking, spamming, or vandalism
• Transmitting chain mail, junk mail, or spam to other users
• Infringing the privacy rights of others
• Soliciting personally identifiable information for harassment or exploitation
• Soliciting personally identifiable information from anyone under the age of 18
• Intentionally posting content that constitutes libel or defamation
• Posting false or inaccurate content with intent to deceive
• Attempting to impersonate another user or individual
• Engaging in fraud
• Infringing copyrights, trademarks, patents, or other proprietary rights
• Posting child pornography or content that violates applicable law
• Using the services in a manner inconsistent with applicable law
• Posting or distributing content containing viruses, malware, or malicious code
• Engaging in automated uses that are abusive or disruptive
• Disrupting services by placing undue burden on systems
• Knowingly accessing non-public areas without authorization
• Testing vulnerability of technical systems without permission

2. Terms of Mail Services

The tools available on the Moovsoon App to create documents are the property of Moovsoon and its affiliated companies. All orders are subject to acceptance by Moovsoon. We reserve the right to reject any order at any time without recourse.

• Due to the nature of the product, no returns can be made once the order is processed and/or shipped
• Moovsoon will arrange for shipping with the carrier on behalf of you
• You will be fully responsible for the shipping and handling cost
• Moovsoon will not be responsible for delivery delays, loss or damage while with shipping carrier

3. Downtime and Service Suspensions; Security

You acknowledge that your access to and use of the Services may be suspended for the duration of any unanticipated or unscheduled downtime or unavailability for any reason, including power outages, system failures or other interruptions.

We shall be entitled, without liability to you, to suspend access to any portion or all of the Services at any time for:

• Scheduled downtime to permit maintenance or modifications
• Denial of service attacks or other security events
• Legal or regulatory compliance requirements

Privacy Policy

We ask that you review the terms of our Privacy Policy, so that you are aware of how we collect and use your information. Personal information that we collect will be stored and processed in the United States of America or any other country in which we or our agents maintain facilities.

Subscription Term, Renewal and Fees Payment

Order Form

Our order form may be completed and placed in various ways, including online forms, in-product screens, or any other mutually agreed upon offline form delivered via mail, email or other electronic or physical delivery mechanism.

Subscription Term

The Service is provided on a subscription basis for the term specified in your Order Form, in accordance with the respective subscription plan purchased under such Order Form.

Subscription Fees

In consideration for the provision of the Service, you shall pay us the applicable fees per the purchased Subscription, as set forth in the applicable Order Form. Unless indicated otherwise, Subscription Fees are stated in US dollars. Unless expressly set forth herein, the Subscription Fees are non-cancelable and non-refundable.

Subscription Auto-Renewal

In order to ensure that you will not experience any interruption or loss of services, your Subscription includes an automatic renewal option by default. Unless you cancel your Subscription prior to its expiration, it will automatically renew for a period equal to the original Subscription Term at the same price (subject to applicable Tax changes).

If you wish to avoid auto-renewal, you shall cancel your Subscription prior to its expiration by contacting our team.

Refund Policy; Chargeback

Refund Policy

If you are not satisfied with your initial purchase of a Service, you may terminate such Service by providing us written notice within 14 days of having first ordered such Services (the “Refund Period”). If you terminate within the Refund Period, we will refund the prorata portion of any unused and unexpired Subscription Fees.

Important: The Refund is applicable only to the initial purchase and does not apply to additional purchases, upgrades, modifications, or renewals. After the Refund Period, Subscription Fees are non-refundable and non-cancellable.

Chargeback

If we record a decline, chargeback or other rejection of any due and payable Subscription Fees on your Account, this will be considered a breach of your payment obligations, and your use of the Service may be disabled or terminated.

Term and Termination; Suspension

Termination for Cause

Either you or us may terminate the Service and these Terms, upon written notice, in case that:

• The other party is in material breach and fails to cure such breach within 10 days following written notice
• Ceases business operations or becomes subject to insolvency proceedings not dismissed within 45 days

Effect of Termination

Upon termination or expiration of these Terms, your Subscription and all rights granted to you hereunder shall terminate. It is your sole liability to export your Data prior to such termination or expiration.

Disclaimers

Your use of our services is at your sole risk. We provide these services on an “as is” and “as available” basis, and we expressly disclaim all express or implied warranties of all kinds, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation on Liability

With the exception of the third-party data collection obligation, Moovsoon will not be liable to you or to any other party for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.

Except for Moovsoon’s third-party data collection obligation, in no event shall our liability exceed one thousand U.S. dollars (USD 1000.00) in aggregate.

Liability and Indemnity

You hereby agree to indemnify, defend and hold harmless Moovsoon and its affiliates, officers, directors, employees and agents from and against any and all claims, damages, obligations, liabilities, losses, reasonable expenses or costs incurred as a result of any third party claim arising from your violation of these Terms or applicable Law, or your Data infringing any third party’s rights.

Moovsoon adheres to the legal and lawful collection of third-party data inside of the Moovsoon App and neither third-party sources nor the user shall have any responsibility or liability for any errors or inclusion of this third-party data inside the Moovsoon App.

Modifications to these Terms

We may modify these Terms of Use from time to time and will provide notice of such modifications via this Moovsoon App. Your continued use of our services after the new Terms become official constitutes acceptance of these Terms on your part.

Other Terms

These Terms of Use do not create an employment, agency, partnership, or joint venture relationship between you and us. If you have not signed a separate agreement with us, these Terms of Use are the entire agreement between you and us.

These Terms of Use were written in English (U.S.). In the event of any differences in meaning between the original English version and a translation, the original English version takes precedence.

If any provision of these Terms of Use is found unlawful, void, or unenforceable, that provision is deemed severable and will be enforced to the maximum extent permissible, while all other provisions remain in full force and effect.
